Welcome to eSmart Class! Thanks for using the products and services (“Services”) which are available through www.eSmartClass.net (“eSmart Class” or “this Site”).
The Services on this Site are provided by e-future Co., Ltd. (“e-future”), located at 4F, 91 Baekjegobun-ro, Songpa-gu, Seoul, Korea, 05562.
Please read this document carefully. By using our Services and clicking “Yes, I agree.” below, you are agreeing to these Terms of Use (“Terms”). If you are thirteen years of age or younger, you must have your parent’s or guardian’s permission before agreeing to the Terms or providing any personal information to us. If you do not agree with this policy, you should not use our website to access our products or services.
General Conditions of Use
The Terms affect anyone who uses the Services on this Site or for anyone who provides personal information to third parties who share that information with e-future in order to provide you Services through this Site—in this document this means you, the user, your or yours. In this document, e-future is also referred to as we or our.
We periodically update the Terms, and any changes to the Terms will appear on this Site. In fact the Terms were last updated on 5 April 2017. You can view archived versions of the Terms on this Site. If you do not agree to any changes made to the updated Terms, you must stop using the Services and this Site.
Your Account
Depending on which Services you access on this Site, you will be required to create an account. To create an account, we require personal information from you. This could include your name, username, account password, email address, school name, address, and/or phone number. Some items are required to create an account and some items are optional. Your personal information will be collected and handled in accordance with our Privacy Policy (which is available on this Site).
e-future will only use your personal information to deliver Services to you through this Site. We will not share or transfer your personal information with a third party except to deliver you Services through this site, unless required by law or court order, or unless authorized by you.
Keep your password to this Site confidential. Contact us if you suspect that your account has been compromised.
You can view, edit (except for your username), and revise your personal information on this Site at any time.
In connection with your use of the Services, we may send you service announcements, administrative messages, and other information. You may opt out of some of these communications.
Your personal information will be retained by us until your account is deleted.
Using the Services
You must not misuse our Services. We may suspend or stop providing our Services to you or delete your account if you do not comply with the Terms or if we suspect misuse. You must not interfere with our Services in any way or try to access them in a method other than the interface and instructions that we provide.
You do not gain ownership of any intellectual property in our Services by using this Site or agreeing to the Terms. You must not sell access to our Services, and you must not help others to do so. You must not sell our Services that you download, and you must not help others to do so. These Terms do not grant you the right to use our brand, logos or other marks. You must not remove, obscure, or alter any legal notices that are displayed in or along with our Services.
Your Content
Some of our Services allow you to upload content, such as comments. You retain ownership to any intellectual property that your hold in your content. When you upload content, you grant e-future a worldwide, non-exclusive license to host, store, reproduce, and use your content in connection to providing you Services through this Site (“License”). This License will expire when your account is deleted.
You also grant e-future permission to share your content with registered students or teachers who you authorize to receive your content.
You must not upload content if it contains any unlawful material, any libelous material, material that infringes an existing copyright, material that violates the civil or moral rights of any person(s), material that is defamatory, material that goes against the public orders or morals, material related to a criminal case, or material that harms the Services or this Site in any way (“Prohibited Material”). If your content contains (or if we suspect that it contains) Prohibited Material, we may remove it from the Site.
Our Warranties, Liabilities, and Disclaimers
The Services on this Site are provided as is. You can use the Services, and we will do our best to provide them without any problems. But from time to time, we will update, change, or take this Site offline to make improvements. We will notify you of any planned interruption to the Services by posting a notice on this Site.
Other than the Terms that are expressly set out in this document, neither e-future nor its distributors and agents make specific promises about the Services or their performance, functionality, reliability, or availability.
When permitted by law, e-future, its distributors, and its agents will not be responsible for lost profits, revenues, or data, financial losses or indirect, special, consequential, exemplary, or punitive damages.
To the extent permitted by law, the total liability of e-future, and its distributors and agents, for any claims under these Terms, include for any implied warranties, is limited to the amount you paid us to use the Services (or, if we choose, to supplying you the services again). In all cases, e-future, and its distributors and agents, will not be responsible for any loss or damage that is not reasonably foreseeable.
Other Matters
e-future will keep and use your personal information secure in accordance with the laws of the Republic of Korea. You can learn more about these laws and your rights under them by visiting https://www.privacy.go.kr/eng/index.do.
These terms control the relationship between e-future and you. They do not create any third party beneficiary rights.
If certain provisions in this document are unenforceable, this will not affect any other provisions in the Terms.
These Terms are constructed in accordance with the laws of the Republic of Korea. You agree to submit any dispute or claim arising from the use of this Site or the Services to the exclusive jurisdiction of the Seoul Central District Court in the Republic of Korea.

1. OUR AGREEMENT
1.1 These terms and conditions (“the Agreement”) relate to (1) registration with Smart English Online using the unique access code (“the Access Code” that you have purchased or will purchase; and (2) use of online English-teaching product (“the Product”) to which this code relates. These terms override any other statement or terms and conditions whether verbal or in writing.
2. REGISTRATION
In order to access the Product, you are required to submit the Access Code and certain personal information including, but not limited to, your email address and a suitable password. Upon validation of the Access Code you be able to access the Product using the login and password you selected during registration.
2.1 BY CLICKING I AGREE YOU AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT ACCEPT THE TERMS OF THIS AGREEMENT, THEN CLICK I DO NOT AGREE.
3. PERIOD OF ACCESS
3.1 You will have access to the Product for a period of 12 months from the date of registration. e-future’s warranty to you in respect of the operation of the Product is set out in clause 8 below.
4. SECURITY
4.1 Personal information supplied by you to enable us to provide the Product is stored on an e-future customer database at a data centre. The data centre is specifically designed to be physically secure and to admit authorized personnel only, who are contractually bound to keep all of our data confidential.
5. PERSONAL DATA
5.1 By registering to use the Product, you are agreeing that we may process any personal data that you supply to us in accordance with to e-future's Privacy Policy.
5.2 You will inform us of any changes to such personal data during the term of this Agreement.
6. JURISDICTION
6.1 This Agreement shall be interpreted in accordance with the laws of Republic of Korea and the courts of Republic of Korea shall have exclusive jurisdiction.
7. TERMS SPECIFIC TO USE OF THE PRODUCT
7.1 In consideration of the payment by you in full for the Access Code, e-future grants to you the non-exclusive, non-transferable license to use the Product as set out below and for the period of access set out in clause 3.
7.2 You may not print off or copy the Product unless this is expressly permitted within particular screens or documents within the Product.
7.3 Recognizing the damage to e-future's business which would flow from unauthorized use of the Product, you will:
7.3.1 use best endeavors to keep the Product secure from unauthorized use;
7.3.2 log in only under your own user ID and password and not disclose your password to anyone; and
7.3.3 notify e-future immediately of any infringement of this Agreement or abuse of user name or password or if you become aware of any of the following: (a) any loss or theft of password(s); (b) any unauthorized use of any of user ID or password(s); or (c) any breach of the terms of this Agreement.
7.4 You will obtain at your cost all telecommunications and other equipment and software (including an Internet browser and portable document file reader) together with all relevant software licenses necessary to access the Product online.
7.5 THE PRODUCT AND CONTENT (INCLUDING DESIGNS) ON THE PRODUCT URL(S) IS PROTECTED BY © COPYRIGHT AND MUST NOT BE USED, DISPLAYED, MODIFIED, ADAPTED, DISTRIBUTED, TRANSMITTED, TRANSFERRED, PUBLISHED OR OTHERWISE REPRODUCED IN ANY FORM BY ANY MEANS OTHER THAN STRICTLY IN ACCORDANCE WITH THIS AGREEMENT. Without prejudice to any other right or remedy, e-future reserves the right to withdraw the Product immediately if it becomes aware of any infringement of the copyright in the Product by you.
8. WARRANTY
8.1 The Product is provided "as is" and e-future expressly excludes to the maximum extent permitted by law, all other representations, warranties, conditions or other terms, express or implied, including the implied warranties:
8.1.1 of non-infringement, satisfactory quality, merchantability and fitness for a particular purpose; and
8.1.2 that the operation of the Product will be uninterrupted or free from errors.
9. TERMINATION
9.1 This Agreement may be terminated by e-future immediately upon you breaching any of the terms of this Agreement.
9.2 Upon termination of this Agreement, you shall cease using the Product and destroy all copies thereof (including stored copies).
